Terms and Conditions

These Terms and Conditions apply to the use of typo3teams.com and, where applicable, to any engagement related to the services described on our website. By using the website or engaging with our services, visitors agree to these Terms. If they do not agree, they should not use the website.

Definitions

  • Agreement — Any written or electronic arrangement between the client and us describing services, scope, timelines, and fees.
  • Client Content — Materials provided by a client or user, such as text, brand assets, images, data, instructions, or other inputs.
  • Deliverables — Outputs provided as part of the Services, including drafts, files, documents, or other work product.
  • Company/Designer Tools — Our internal methods, templates, processes, systems, frameworks, and know-how used to create Deliverables.
  • Final Deliverables — The completed Deliverables provided after acceptance (if applicable) and after payment terms are satisfied.
  • Project — The defined scope of work described in the Agreement or proposal.
  • Services — The services we provide through typo3teams.com, which may include information about TYPO3-focused teams and related service offerings, and any deliverables described in an Agreement.
  • Third-Party Materials — Content, tools, services, or assets owned by third parties that may be used or referenced in connection with the Services.

Development / Service Delivery

Where Services are delivered under an Agreement, we will provide them according to the scope, milestones, and timeline set out in that Agreement. We apply professional judgment and use commercially reasonable efforts to complete work as agreed.

Some outcomes may depend on factors outside our control (for example, third-party platforms or client-provided inputs). In such cases, we will communicate practical constraints when identified.

Proposal / Scope of Work

Unless stated otherwise, proposals are valid for 30 days from the issue date. If a proposal is not accepted during that period, we may revise it, withdraw it, or submit an updated version.

Compensation (Fees, Additional Costs, Expenses, Taxes)

Fees and payment terms are described in the Agreement or proposal. In general:

  • Third-party costs (such as paid tools, external services, licenses, or platform fees) are billed separately unless explicitly included in writing.
  • Expenses may be billed at cost if the Agreement allows reimbursable expenses.
  • Clients are responsible for any applicable taxes related to payments, where applicable, unless a written Agreement states otherwise.

Payment

Invoices are due within 5 days unless different terms are agreed in writing. Payments may be tied to milestones, as described in the Agreement.

If payment is overdue, work may be paused until payment is received, unless the Agreement provides another approach.

Changes to Project Scope

Change requests must be submitted in writing. We handle changes based on their impact:

  • Minor changes are small adjustments that do not materially affect the agreed scope, timeline, or complexity. Where reasonable, minor changes may be completed within the existing plan.
  • Major changes materially expand or alter scope, requirements, structure, or delivery timing. Major changes may require revised fees, updated timelines, and a new or supplemental Agreement before work proceeds.

If proposals or concepts are submitted for review, the client should provide feedback within a reasonable period. Unless otherwise stated, we follow a 14 working days concept for review/acceptance cycles.

Delays

Delivery timelines depend on timely inputs and approvals:

  • Delays caused by missing client materials, approvals, or decisions may extend deadlines day-for-day.
  • If we anticipate a delay on our side, we will inform the client and suggest a practical timeline adjustment.
  • Events beyond reasonable control (such as service outages, disruptions, or emergencies) are not considered a breach and may extend timelines as needed.

Evaluation and Acceptance

Where Deliverables are provided under an Agreement:

  • We may conduct internal testing or checks before submission.
  • After delivery, the client typically has 7 working days to review and either accept the Deliverables or provide consolidated feedback.
  • Fixes and revisions are handled within a reasonable timeframe based on complexity and the agreed scope.
  • Requests outside scope may be treated as change requests and handled under “Changes to Project Scope.”

Client Responsibilities

Clients agree to:

  • Provide lawful, accurate, and ready-to-use Client Content
  • Ensure they have the rights to use materials they supply
  • Review Deliverables and provide timely approvals/feedback
  • Proofread and verify final content unless the Agreement explicitly assigns that responsibility to us
  • Make timely decisions regarding any required third-party services or materials

Accreditation and Promotion

Where applicable and unless agreed otherwise in writing, we may:

  • Include an accreditation reference (for example, a credit line or link) with published work
  • Display non-confidential work samples in a portfolio or case examples

Neither party should unreasonably prevent truthful, factual references to the work relationship, while respecting confidentiality obligations.

Confidential Information

Both parties may share confidential information during a Project. Each party agrees to protect the other party’s confidential information and use it only for the purpose of performing obligations under the Agreement.

Confidential information does not include information that:

  • Is publicly available through no fault of the receiving party
  • Was lawfully known before disclosure
  • Is independently developed without using the other party’s confidential information
  • Is received lawfully from another source without confidentiality restrictions

Relationships

We act as an independent contractor. Nothing in these Terms creates an employment relationship, partnership, joint venture, or agency relationship.

Unless agreed in writing:

  • There is no exclusivity requirement
  • We may use subcontractors or service providers to support delivery while remaining responsible for obligations under the Agreement

Liability

To the extent permitted, the website and Services are provided “as is” and “as available.” We do not guarantee uninterrupted operation or that every issue can be prevented.

To the extent permitted, our total liability related to a claim is limited to the amount paid for the specific Services giving rise to that claim.

Rights for Work Produced

After full payment, the client receives a non-exclusive, perpetual, worldwide license to use the Final Deliverables for the purpose described in the Agreement.

Our Company/Designer Tools, internal methods, frameworks, templates, and reusable components remain ours unless explicitly transferred in writing. Unless otherwise agreed, clients should not create derivative works from proprietary tools or frameworks where that would conflict with agreed usage.

Support Services

Support, maintenance, and updates are provided only if agreed in writing and may be billed separately.

Any warranty or support commitment (if included in an Agreement) may not apply if Deliverables are altered by others or used outside the agreed scope.

Updates to Terms

We may update these Terms from time to time. The updated version will be posted on this page and will apply from the time of publication. Continued use of typo3teams.com after changes are posted indicates acceptance of the revised Terms.
